Terms of Service.

1. Acceptance of Terms

Welcome to Redondo Beach Auto Gallery ("RBAG," "we," "us," or "our"), located at 339 South Pacific Coast Highway, Redondo Beach, California 90277. These Terms of Service ("Terms") govern your use of our website at rbautogallery.com (the "Site"), our physical dealership lot, our online course offerings (including but not limited to "The Come Up Academy"), and any related products, services, communities (including Discord), and content (collectively, the "Services").

By accessing the Site, purchasing any product or service, scheduling a vehicle viewing, enrolling in any course or mentorship, joining our community, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Definitions

• "Course" means The Come Up Academy and any future digital course offered by RBAG, including videos, written materials, templates, downloadables, and access to community channels.
• "Mentorship" means the 1-on-1 mentorship program offered by RBAG, including individual calls, deal review, text access, and any associated benefits.
• "Vehicle" means any motor vehicle offered for sale or lease through RBAG.
• "Buyer," "Student," "User," "you" means any person who accesses, purchases from, or otherwise uses the Services.

3. Eligibility

You must be at least 18 years of age and legally able to enter into a binding contract under California law to purchase any product or service from RBAG. By using the Services you represent and warrant that you meet this requirement. If you are purchasing on behalf of a business entity, you further represent that you have the authority to bind that entity to these Terms.

Minors may not enroll in the Course or Mentorship and may not purchase Vehicles. Parents or legal guardians who allow minors to access the Site assume full responsibility for that access.

4. Refund Policy

4.1 Course Refunds — All Sales Final

The Course is sold as a digital product with immediate access to proprietary content, methodologies, and downloadable materials. All Course sales are FINAL at the time of purchase. No refunds, partial refunds, credits, or substitutions will be issued for any reason, including but not limited to: change of mind, failure to use the materials, dissatisfaction with the content, accidental purchase, lack of time, or technical issues.

By completing your Course purchase, you expressly acknowledge that (a) you have reviewed the Course description prior to purchase; (b) you receive immediate access to digital content upon payment; (c) you waive any statutory right of cancellation that may otherwise apply, to the maximum extent permitted by law; and (d) you understand that the no-refund policy is a material term of the sale.

4.2 Mentorship Refunds

The Mentorship program is sold as a high-touch, customized service that requires immediate onboarding, scheduling, and reserved 1-on-1 calendar time. A five hundred dollar ($500) non-refundable administrative fee is included in the total Mentorship purchase price to cover this onboarding, scheduling, and reserved capacity.

Within 24 hours of purchase (and provided that no mentorship session, deal review, or written deliverable has been provided): you may request a refund of $2,000 of the $2,500 purchase price. The $500 administrative fee is retained.

After 24 hours from purchase, or once any mentorship session, deal review, or written deliverable has been provided (whichever is sooner): all Mentorship sales are final and no refund will be issued.

This policy applies regardless of changes in your circumstances, schedule, or willingness to participate. Refund requests must be submitted in writing to hello@rbautogallery.com.

4.3 Vehicle Sales

All Vehicle sales are final at the time of sale. Refund of any deposit is at RBAG's sole discretion. See Section 6 (Vehicle Sales Terms) for full details on as-is sales and inspections.

4.4 Chargebacks

Initiating a chargeback or payment dispute outside of the refund procedures described above is a material breach of these Terms. RBAG reserves the right to (a) immediately revoke your access to all Services, including the Course, Mentorship, and any community channels; (b) seek recovery of all amounts owed plus reasonable attorney's fees and collection costs; and (c) report fraudulent chargebacks to applicable authorities.

5. The Come Up Academy — Course & Mentorship Terms

5.1 Educational Purpose Only

The Course and Mentorship are provided for informational and educational purposes only. They do not constitute legal, financial, tax, investment, business, or professional advice. You should always consult licensed professionals for advice specific to your situation. Compliance with applicable laws — including state dealer licensing, sales tax, DMV regulations, and consumer protection laws — is your sole responsibility.

5.2 No Earnings or Results Guarantee

RBAG makes no representation, warranty, or guarantee that you will earn any specific amount of money, achieve any particular outcome, or generate any income whatsoever as a result of purchasing or using the Course or Mentorship. Any examples, case studies, testimonials, or earnings statements referenced are not typical and should not be relied upon as a promise of similar results. Your success depends on countless factors outside RBAG's control, including but not limited to your effort, market conditions, capital, experience, time invested, and decisions made.

5.3 Lifetime Access

"Lifetime access" to the Course means access for the lifetime of the Course offering itself, not the lifetime of any individual. RBAG reserves the right to discontinue the Course, retire content, or transition the Course to a new format at any time, with reasonable effort to notify enrolled students.

5.4 Account Sharing Prohibited

Your access to the Course and any associated communities is personal and non-transferable. Sharing login credentials, redistributing materials, or providing access to any third party is strictly prohibited and constitutes immediate grounds for termination of access without refund and may result in legal action.

5.5 Community Conduct (Discord)

If you receive access to RBAG's Discord community or any other community channel, you agree to abide by the community rules posted within. Violation may result in removal without refund. RBAG is not responsible for the conduct, statements, or actions of other community members.

6. Vehicle Sales Terms

6.1 Sold "AS IS" Unless Otherwise Specified

All used Vehicles sold by RBAG are sold "AS IS" with all faults and without warranty of any kind, express or implied, unless a written warranty is specifically provided in the bill of sale. California's "Buyer's Guide" sticker on each Vehicle controls. To the maximum extent permitted by law, RBAG disclaims all implied warranties, including the implied warranties of merchantability and fitness for a particular purpose.

6.2 Buyer's Right to Inspect

You are strongly encouraged to inspect any Vehicle, take a test drive, and obtain an independent pre-purchase inspection by a qualified mechanic at your expense before purchase. By completing a Vehicle purchase, you acknowledge that you had the opportunity to inspect the Vehicle and accept it in its current condition.

6.3 Vehicle History Reports

When provided, Vehicle history reports (such as Carfax) are obtained from third parties and provided for informational purposes only. RBAG does not guarantee the accuracy, completeness, or currency of any third-party report and is not responsible for any omissions or errors contained therein.

6.4 Financing

Any financing, lease arrangement, or credit application processed through RBAG is between you and the third-party lender. RBAG is not a lender and does not guarantee loan approval, interest rates, or terms. Financing terms are at the sole discretion of the lender.

6.5 Trade-Ins

Any trade-in valuation provided by RBAG is an offer based on a visual inspection at the time of trade-in and is not binding until executed in writing as part of a Vehicle purchase agreement. Trade-in offers may be adjusted if the Vehicle's condition is misrepresented.

6.6 Deposits

Vehicle deposits are non-refundable unless otherwise specified in writing at the time of deposit. A deposit reserves a Vehicle for a maximum of seven (7) days unless extended in writing.

6.7 Test Drives

Any test drive of a Vehicle owned by RBAG is conducted at your sole risk. You agree that you possess a valid driver's license, current insurance, and the legal capacity to operate the Vehicle. You assume full liability for any damage, traffic violation, accident, injury, or loss occurring during the test drive and agree to indemnify RBAG against any resulting claim. Photo identification and proof of insurance are required prior to any test drive.

7. Disclaimers

To the maximum extent permitted by law, the Services, the Site, all content, and all Vehicles are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. RBAG disclaims all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

RBAG does not warrant that the Site or Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You use the Services at your own risk.

8. Limitation of Liability

To the fullest extent permitted by law, in no event shall RBAG, its owner, employees, contractors, affiliates, or partners be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost revenue, lost data, loss of goodwill, business interruption, or personal injury, arising out of or related to your use of the Services, the Site, the Course, the Mentorship, or any Vehicle, even if RBAG has been advised of the possibility of such damages.

In any event, RBAG's total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you paid to RBAG in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100.00). Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, RBAG's liability is limited to the maximum extent permitted by law.

9. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, photos, videos, software, course materials, templates, spreadsheets, scripts, audio, the "RB" monogram, "Redondo Beach Auto Gallery" mark, "The Come Up" mark, "Don't get high on your own supply," and any related taglines, is the exclusive property of RBAG or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes. You may NOT:

• Copy, reproduce, distribute, publish, transmit, modify, create derivative works of, publicly display, or publicly perform any RBAG content without express written permission;
• Use any RBAG content to train artificial intelligence or machine learning models;
• Resell, sublicense, or commercially exploit the Course, Mentorship, or any related materials;
• Remove, obscure, or alter any copyright, trademark, or other proprietary notices;
• Reverse engineer or scrape the Site.

Violation of this section will result in immediate termination of access and may result in legal action and statutory damages.

10. Acceptable Use

You agree NOT to use the Services to:

• Engage in any unlawful, fraudulent, defamatory, or harmful conduct;
• Harass, abuse, threaten, or impersonate any person, including RBAG personnel or community members;
• Upload viruses, malware, or other harmful code;
• Attempt to gain unauthorized access to any portion of the Site or Services;
• Interfere with or disrupt the Site, Services, or community channels;
• Collect or harvest personal information about other users;
• Use the Services to send unsolicited commercial communications.

RBAG reserves the right to investigate and prosecute violations of this section to the fullest extent of the law and to cooperate with law enforcement authorities.

11. User Accounts

If you create an account on the Site or in any RBAG community, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify RBAG immediately of any unauthorized use of your account. RBAG is not liable for any loss or damage arising from your failure to safeguard your credentials.

12. Third-Party Services

The Services may integrate with or link to third-party services, including but not limited to Whop (course delivery and payment), Stripe (payment processing), Discord (community), Netlify (hosting), Google Maps, and various lending institutions. RBAG is not responsible for the practices, content, or policies of any third-party service, and your use of those services is governed by their own terms and policies. RBAG makes no warranties about any third-party service.

13. Indemnification

You agree to indemnify, defend, and hold harmless RBAG, its owner, employees, contractors, affiliates, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to (a) your violation of these Terms; (b) your use or misuse of the Services or any Vehicle; (c) your violation of any applicable law or regulation; (d) your violation of any third-party right, including intellectual property rights; or (e) any content you submit, post, or transmit through the Services.

14. Binding Arbitration & Class Action Waiver

Please read this section carefully — it affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services (a "Dispute") shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in Los Angeles County, California, in English. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

YOU AND RBAG AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Notwithstanding the foregoing, either party may bring an individual action in small claims court for claims within that court's jurisdiction. Either party may seek injunctive or equitable relief in court to protect intellectual property rights.

You have the right to opt out of this arbitration agreement by sending written notice to hello@rbautogallery.com within thirty (30) days of first agreeing to these Terms, stating clearly your name, the email address used at purchase, and that you opt out of arbitration.

15. Governing Law & Venue

These Terms and any Dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. Subject to Section 14, the exclusive jurisdiction and venue for any action not subject to arbitration shall be the state or federal courts located in Los Angeles County, California, and the parties consent to personal jurisdiction therein.

16. Modifications to the Terms

RBAG reserves the right to modify these Terms at any time. The "Last Updated" date at the top of this page reflects the most recent revision. Continued use of the Services after any modification constitutes acceptance of the modified Terms. For material changes, RBAG will use reasonable efforts to provide notice (such as a notification on the Site or by email).
